Terms and Conditions

Independent Distributor Agreement
Biomat Global accepts applications for Independent Sales Associates ("ISA" or "Distributor") to market and sell company products to retail customers. By applying to become a Distributor, you agree to the following terms:

By enrolling, you acknowledge that you have reviewed and agree to all governing documents.
This agreement is effective only upon acceptance by Biomat Global.
2. Term and Renewal
This Agreement is valid for one year from the date of acceptance.
You may cancel at any time by submitting a written notice.
Continued activity after expiration constitutes automatic renewal and acceptance of the current agreement terms.
3. Inactivity
Distributors may be classified as inactive after twelve months of no sales or purchases.
Reactivation may be completed by contacting Biomat Global support. Reactivation constitutes renewal of this agreement.
4. Distributor Enrollment
To become a distributor:

You must be sponsored by an active distributor (if applicable).

You must be of legal age in your state of residence.

Application information must be accurate and complete.

No purchase is required to become a distributor, except for any applicable registration fee.
The company is not responsible for commission loss due to inaccurate or incomplete applications.
5. Independent Contractor Status
Distributors are independent contractors and not employees, partners, or agents of Biomat Global.
You are solely responsible for:

Compliance with federal, state, and local laws

Obtaining required licenses

Reporting and paying all taxes related to your business activity
6. Distributor Identification
Upon approval, you will receive a Distributor ID number. This number must be used in all communications and customer transactions.
7. Compensation Plan
Commissions and bonuses are based on product sales in accordance with the official Compensation Plan.
Sales to retail customers are required to qualify for compensation.
Income is not guaranteed and depends on individual effort and market conditions.
8. Product Sales and Marketing
Distributors agree to:

Sell products only as authorized by Biomat Global

Make no claims beyond those in official company materials

Provide customers with warranty and invoice information

Follow Minimum Advertised Price (MAP) policies, if applicable

There are no mandatory purchase quotas.
9. Prohibited Online Sales
Distributors may not list or sell company products on unauthorized third-party marketplaces (including but not limited to Amazon, eBay, Craigslist, or similar platforms).
Unauthorized discounting, promotional claims, or unapproved advertising may result in termination.
10. Inventory Loading
Distributors may not purchase excessive inventory solely to qualify for bonuses.
At least 70% of purchased products must be sold to retail customers before additional large purchases are made.
11. Orders and Payments
Orders may be placed through authorized company channels.
Accepted payment methods may include major credit cards, wire transfer, check, or other approved methods.
Returned checks are subject to a $35 fee.
12. Sponsorship Responsibilities
Distributors who sponsor others must provide reasonable training and support consistent with company policies.
13. Product Claims and Wellness Disclaimer
Distributors may not make:

Unauthorized health claims

Disease treatment claims

Earnings guarantees

Product warranty modifications

All product representations must align with official company materials.

Failure to comply may result in termination.
14. Product Warranty
Products are covered by a limited three-year warranty, subject to the company's Refund and Repair Policy.
Proof of purchase is required.
15. Resignation and Termination
You may resign at any time with written notice.
The company may suspend or terminate your distributorship for violation of this agreement.
The company imposes corrective action short of termination depending on the severity of the violation.
16. Modification of Terms
Biomat Global reserves the right to modify this agreement at any time.
Updated terms will be posted on the company website.
Continued participation constitutes acceptance of modifications.
17. Governing Law
This agreement shall be governed by the laws of the State of California.
Any disputes shall be resolved in the courts located within that state.
